The annual state filing is due every year before the filing date of the original Articles of Incorporation and must be filled in a timely manner in order to continue to use your corporation without fines and possible IRS audit.

Minutes are a must, every year, to make sure you are engaged with the corporation.  The purpose of the minutes, which are required, is to make sure that all shareholders within the corporation are aware of what is happening and where the business is going.  If you have not compliad with the state law click below and we will file those minutes for you.

A registered agent is a business, it must be a business, where any legal documents that pertain to lawsuits or any other state or federal action would be sent.  the requirement is fourfold: 1. It is a business. 2. It has an address as opposed to a P.O. Box. 3. Someone is available in the office from 9 am to 5 pm Monday through Friday. 4. That the place you use as your registered agent is a bonified registered agent for hire filed with the State in which the corporation is fomred.
